These Terms of Service (“Terms”) are a legal agreement between you and Idari AI Inc (“Idari,” “we,” “us,” or “our”) governing your access to and use of idari’s AI assistant, agents, website, and related services (collectively, the “Service”).
Please read these Terms carefully. By accessing or using the Service, you agree to be bound by them. If you do not agree, do not use the Service.
1. Who may use the Service
You may use the Service only if you can form a binding contract with us and are at least 18 years old. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization. The Service is intended for business and professional use. Individuals may subscribe to the single‑person Chief of Staff plan (Section 10) for their own professional use; if you subscribe as a consumer, nothing in these Terms limits the rights you have under mandatory consumer‑protection law where you live.
2. Your agreement with us; order of precedence
If you and we have entered into a separate signed agreement (such as a Master Services Agreement, pilot agreement, order form, or Data Processing Agreement) for the Service, that agreement governs to the extent it conflicts with these Terms. Otherwise, these Terms, together with our Privacy Policy, form the entire agreement between you and us regarding the Service.
3. The Service, and its current stage
The Service provides AI‑powered assistants and agents that help with tasks across corporate functions — such as a chief‑of‑staff assistant and function‑specific agents — accessed through messaging channels (for example WhatsApp, Telegram, or Slack) and a web dashboard. Specific features depend on your plan and configuration and may change over time.
4. Accounts and security
- You must provide accurate information and keep it up to date.
- You are responsible for safeguarding your sign‑in credentials and for all activity under your account. We recommend enabling multi‑factor authentication on the Google or Microsoft account you use to sign in.
- You must promptly notify us at privacy@idari.ai of any unauthorized use of your account or other security incident you become aware of.
5. Acceptable use
You agree not to, and not to permit anyone to:
- use the Service in violation of any applicable law or regulation, or in violation of the rights of others;
- submit unlawful, infringing, defamatory, or harmful content, or content you do not have the right to submit;
- upload malware or attempt to gain unauthorized access to, disrupt, or compromise the Service or its infrastructure;
- reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service, except to the extent this restriction is prohibited by law;
- use the Service to develop or train a competing product or model, or to scrape or harvest data;
- circumvent usage limits, rate limits, or access controls, or use the Service in a way that imposes an unreasonable load on it;
- use the Service for any high‑risk activity where failure could lead to death, personal injury, or severe physical, environmental, or property damage; or
- misrepresent AI‑generated output as human‑generated where doing so is deceptive or unlawful.
We may suspend or limit access to the Service to investigate suspected violations or to protect the Service, our users, or third parties.
6. AI features — important limitations
- Not professional advice. Outputs — including any analysis, summary, audit, or draft relating to finance, accounting, tax, legal, HR, procurement, or similar matters — are provided for informational purposes only and are not legal, financial, tax, accounting, or other professional advice. You should consult a qualified professional before acting.
- You are responsible for actions you approve. Where the Service proposes an action (such as sending an email, creating a calendar event, or posting a message), it is designed to seek your approval before acting, unless you have switched on an auto‑approval rule for that kind of action. You are responsible for reviewing proposed actions and for any action you authorize and its consequences.
- No guarantee of uniqueness. Given the nature of generative AI, outputs may not be unique, and similar or identical outputs may be generated for other users. We do not warrant that outputs do not infringe third‑party rights.
- Your responsibility for use. You are responsible for evaluating the suitability of any output for your purposes and for compliance with the laws and regulations that apply to you.
- Reading attachments and documents. The assistant can read files attached to your email and other documents you provide, including by extracting text and performing OCR on scanned, photographed, handwritten, or Arabic‑language files. This reading may be imperfect or incomplete; it is assistive only and is not a substitute for reviewing the source document, and we make no warranty as to extraction or OCR accuracy. You are responsible for ensuring you have the right to have the assistant access and process any attachment or document you direct it to read.
7. Your data and content
As between you and us, you retain all rights in the content and data you or your users submit to, or generate through, the Service (“Customer Content”). You grant us a worldwide, non‑exclusive license to host, process, transmit, and display Customer Content solely as needed to provide and maintain the Service and as described in our Privacy Policy (and any applicable Data Processing Agreement).
You are responsible for your Customer Content, including that you have the necessary rights and lawful basis to provide it and to allow us to process it — including any personal data of third parties (such as contacts and meeting attendees) and any consents required to record or transcribe meetings. We do not use your Customer Content to train AI models. Our handling of personal data is described in the Privacy Policy.
8. Intellectual property
We and our licensors own all rights in the Service, including its software, models, design, and brand. We grant you a limited, non‑exclusive, non‑transferable, revocable right to access and use the Service in accordance with these Terms. No rights are granted except as expressly stated.
To the extent permitted by law, and as between you and us, you own the outputs generated for you through the Service, subject to the limitations in Section 6. If you provide feedback or suggestions, you grant us a perpetual, royalty‑free license to use them to improve the Service without obligation to you.
9. Third‑party services
The Service integrates with third‑party services you choose to connect or use (for example, Google Workspace, Microsoft 365, WhatsApp via Meta or Twilio, Telegram, and Slack). Payments for the self‑serve plan are processed by Stripe under Stripe’s own terms; we never see or store your card number. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third‑party services, and their availability, changes, or discontinuation may affect the Service. A list of our service providers is in our Subprocessor List.
10. Fees
Some parts of the Service may be offered free of charge (including pilots or evaluations), and others may require payment.
Enterprise and team engagements. Where fees apply, they are set out in the applicable order form, quote, or written agreement, and are payable as stated there. Unless stated otherwise, those fees are exclusive of taxes, which you are responsible for.
Self‑serve Chief of Staff plan (one person). The following applies if you subscribe online rather than under a signed agreement:
- Free trial. The plan starts with a 7‑day free trial. No card is needed to start; we ask for a payment card before you connect your mailbox, calendar, and files. If you add a card during the trial, your paid subscription starts automatically when the trial ends and your card is charged then, unless you cancel first. A card added in the last two days of the trial is charged when you add it. If the trial ends without a card, the assistant pauses until you subscribe.
- Price and tax. After the trial, the plan costs US$49 per month (billed monthly), or US$39 per month billed annually (a single payment of US$468 each year), billed in advance in US dollars. The advertised prices are inclusive of VAT and any other applicable sales tax; nothing is added at checkout.
- Automatic renewal. Your subscription renews automatically at the end of each billing period (monthly or yearly, as chosen) until you cancel, and your card is charged at each renewal.
- Cancellation. You may cancel at any time from the billing page, which opens Stripe’s hosted billing portal. Cancellation takes effect at the end of the current billing period; you keep access until then. Fees already paid are non‑refundable, including for partial billing periods, except where the law requires a refund. We may, at our sole discretion, grant a full or partial refund in individual cases; doing so does not oblige us to refund in any other case. To ask, email hello@idari.ai.
- Failed payments. If a renewal payment fails, our payment provider retries it for a limited period, and you keep access while it does. If it still fails, your subscription ends and the assistant pauses until you subscribe again from the billing page.
- Price changes. We may change the plan price with at least 30 days’ notice by email or in the Service; the new price applies from your next renewal after the notice period, and you may cancel before then.
Under an enterprise or team engagement, we may suspend the Service for non‑payment after reasonable notice.
11. Confidentiality
Each party may receive non‑public information of the other in connection with the Service. The receiving party will use such information only to exercise its rights and perform its obligations under these Terms, and will protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, independently developed, rightfully received from a third party, or required to be disclosed by law.
12. Term, suspension, and termination
These Terms apply while you use the Service. You may stop using the Service at any time (if you have a self‑serve subscription, cancel it as described in Section 10 to stop renewals). We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to provide the Service poses a risk to us or others; where reasonable, we will give notice. On termination, your right to use the Service ends. We will handle Customer Content following termination as described in the Privacy Policy and any applicable Data Processing Agreement. Sections that by their nature should survive (including Sections 6–8, 10 as to amounts already owed, 11, 13–16, 18, and 19) will survive termination.
13. Disclaimers
The Service and all outputs are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.
To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement, and any warranties arising from course of dealing or usage. We do not warrant that the Service will be uninterrupted, secure, error‑free, or that outputs will be accurate or reliable. We do not guarantee any particular result, outcome, saving, or level of performance. Any figures produced by interactive tools (such as a savings calculator) and any illustrative metrics are estimates for general information only and are not guarantees. We do not provide any uptime or service‑level commitment except as expressly agreed in a signed writing. Nothing in these Terms excludes any warranty or right that cannot be excluded under applicable law, including mandatory data‑protection rights.
14. Limitation of liability
To the maximum extent permitted by law:
- neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility; and
- our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the liability, or (b) US$100.
These limitations do not apply to liability that cannot be limited under applicable law. The Service is not a substitute for professional judgment, and you assume responsibility for your decisions.
15. Indemnification
You will defend, indemnify, and hold harmless Idari and its officers, employees, and agents from and against any third‑party claims, damages, and reasonable costs (including reasonable legal fees) arising from your Customer Content, your use of the Service in breach of these Terms, or your violation of applicable law or the rights of a third party.
16. Compliance with laws; export and sanctions
You are responsible for complying with the laws applicable to your use of the Service. You represent that you are not located in, and will not use the Service in or for the benefit of, any country or party subject to applicable export controls or economic sanctions (including those administered by the United States), and that you are not otherwise prohibited from receiving the Service under applicable law.
17. Changes to the Service and to these Terms
We may modify, add, or discontinue features of the Service. We may also update these Terms from time to time; when we do, we will revise the “Last updated” date and post the new version. If changes are material, we will provide reasonable notice where required by law. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
18. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict‑of‑laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Wyoming, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. This Section does not deprive you of the protection of mandatory laws (including consumer or data‑protection laws) that apply where you are located, and where you and we have a separate signed agreement, its governing‑law and dispute‑resolution terms control.
19. General
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is held unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Independent parties. These Terms do not create a partnership, agency, or employment relationship.
- No third‑party beneficiaries. These Terms do not give rights to anyone other than you and us.
- Notices. We may provide notices to you through the Service or by email; you may send notices to us at the contact below.
